Primavera Capital Acquisition Files for IPO on NYSE

Primavera Capital Acquisition Corp. has filed for its IPO. According to paperwork filed with the SEC, Primavera Capital Acquisition Corp. is registering up to 34.5 million units of securities to trade on the NYSE. However, this figure includes 4.5 million units issuable to underwriters in case of any over-allotments. Moreover, each units consists of 1 Class A ordinary share and 1/2 of a warrant. Each whole warrant entitles its holder to purchase one Class A ordinary share at a price of $11.50. Furthermore, each unit has a proposed maximum offering price of $10 per share.

This puts the proposed maximum aggregate offering price to somewhere between $300 to $345 million. Additionally, Credit Suisse Securities (USA) LLC, and Citigroup Global Markets Inc. are acting as book-running manager...
